Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Rattana Works" / "We" / "Us" — Rattana Works Co., Ltd., registered in Thailand, with offices at 214 Phra Ram IV Road, Khlong Toei, Khlong Toei, Bangkok 10110.
- "Client" / "You" — any person or organisation that accesses this website or enters into a service engagement with Rattana Works.
- "Services" — digital transformation advisory and consulting services as described on this website and in any scope agreement.
- "Engagement" — a specific consulting project governed by a written scope agreement between Rattana Works and a Client.
- "Deliverables" — written documents, notes, roadmaps, and other outputs produced by Rattana Works in the course of an engagement.
Acceptance of Terms
By accessing this website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Use of this website constitutes acceptance of these Terms and Conditions. If you are accessing this website on behalf of an organisation, you represent that you have authority to bind that organisation.
3.Services
Rattana Works provides digital transformation consulting services, including the Digital Readiness Review, Technology Roadmap Engagement, and Transformation Advisory Partnership, as described on this website. The specific scope, deliverables, timeline, and fee for any engagement are set out in a written scope agreement agreed by both parties before work commences.
We reserve the right to decline any enquiry or engagement where we determine it would not be appropriate or feasible for us to provide the services requested.
4.Engagement Agreements
No engagement commences until a written scope agreement has been signed by both parties. The scope agreement sets out:
- The nature and scope of the services to be provided
- The deliverables and expected timeline
- The fixed fee and payment terms
- Any agreed review or exit points
- Confidentiality obligations applicable to the engagement
In the event of any conflict between these Terms and Conditions and a scope agreement, the scope agreement shall prevail with respect to the engagement to which it relates.
5.Payment Terms
All fees are quoted and payable in Thai Baht (THB). Unless otherwise agreed in writing, the following payment terms apply:
- A deposit of 50% of the engagement fee is payable upon signing the scope agreement
- The remaining 50% is payable upon delivery of the final deliverable
- For the Transformation Advisory Partnership, monthly fees are invoiced at the start of each calendar month
- Invoices are payable within 14 calendar days of issuance
We do not charge additional fees for revisions within the agreed scope. Requests outside the agreed scope will be discussed and, if accepted, documented in a written amendment.
6.Client Responsibilities
The quality of our work depends on access to accurate information. You agree to:
- Provide reasonable access to the people, systems, and documents needed to conduct the engagement
- Designate a primary point of contact within your organisation for the engagement
- Review and respond to interim drafts within agreed timeframes
- Notify us promptly of any material changes to your organisation's situation that may affect the scope or conclusions of the engagement
Intellectual Property
Upon receipt of full payment, Rattana Works assigns to the Client all intellectual property rights in the deliverables produced specifically for that engagement. Rattana Works retains ownership of:
- General methodologies, frameworks, and analytical approaches used in the delivery of services
- Any pre-existing materials incorporated into deliverables (such materials are licensed to the Client for the purpose of the engagement)
The Client may use, modify, and share deliverables within their organisation without restriction.
8.Confidentiality
Both parties agree to treat as confidential any non-public information received from the other party in connection with an engagement. Rattana Works will not disclose client names, organisations, or engagement details to third parties without the client's written consent, except as required by law or regulatory authority.
9.Disclaimers
Our services are advisory in nature. We provide observations, analysis, and considered views based on the information available to us at the time of the engagement. We do not:
- Make specific commitments as to business outcomes resulting from acting on our advice
- Provide legal, financial, accounting, or regulatory compliance advice (clients should seek specialist advisors for these matters)
- Guarantee the accuracy or completeness of any third-party information reviewed in the course of an engagement
This website and its content are provided on an "as is" basis. We make reasonable efforts to keep information current but do not guarantee its completeness or accuracy at all times.
10.Limitation of Liability
To the maximum extent permitted by Thai law, Rattana Works' total liability to any client in connection with an engagement shall not exceed the total fees paid by that client for the engagement in question. We shall not be liable for any indirect, consequential, or special damages arising from or related to our services or this website.
11.Termination
Either party may terminate an engagement at an agreed exit point as specified in the scope agreement, without penalty. Outside of agreed exit points, either party may terminate with 30 days' written notice. In the event of termination:
- Fees for work completed up to the termination date are payable by the client
- Deliverables completed and accepted prior to termination remain the property of the client
- Rattana Works will provide any work in progress in its current state
Website Use
You may access and use this website for lawful purposes only. You agree not to:
- Use the website in any way that causes damage to the website or impairs access by others
- Transmit any unsolicited or unauthorised advertising or promotional material
- Reproduce or redistribute content from this website without our prior written permission
Governing Law and Dispute Resolution
These Terms and Conditions and any engagements entered into with Rattana Works are governed by the laws of the Kingdom of Thailand. Any dispute arising out of or in connection with these terms or an engagement shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be referred to mediation under Thai law before any formal legal proceedings are initiated.
The courts of Bangkok, Thailand, shall have exclusive jurisdiction over any dispute that cannot be resolved through negotiation or mediation.
14.Changes to These Terms
We may update these Terms and Conditions from time to time. Material changes will be communicated by updating the "Last updated" date at the top of this page. Continued use of this website after any update constitutes acceptance of the revised terms. Engagement scope agreements in force at the time of any update are not affected by changes to these Terms unless both parties agree in writing.
